Terms of Service

These Terms govern your access to and use of Cortico. Please read them carefully. Together with our Privacy Policy they form the agreement between you and Cortico.
1. About these Terms
Cortico is a software platform that helps sports, music, dance, language, tutoring and similar schools and clubs (each a “School”) manage members, classes, schedules, attendance, enrolment, events, announcements and payments, and offer a portal to the families they serve (the “Service”).
The Service is operated by Jupiter Pro, a sole proprietorship (eenmanszaak) registered in the Netherlands (KvK no. 98055313, VAT NL005306417B76, Faas Wilkesstraat 485, 1095 MD Amsterdam) (“Cortico”, “we”, “us”). By creating an account or using the Service you agree to these Terms of Service (the “Terms”). If you are entering into these Terms on behalf of a School, you confirm you have authority to bind that School.
2. Definitions
- Customer / School: the organisation that subscribes to and administers the Service.
- Authorised Users: the admins and instructors a School invites to use the Service.
- Members & Families: the account holders and family members (including children) that a School manages in the Service.
- Member Data: personal data that a School uploads or generates about its Members and Families.
- Content: anything you submit to the Service, including Member Data, class and event details, logos and messages.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to create an admin account. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account and the accounts of Authorised Users you invite.
Notify us promptly at support@cortico.app if you suspect any unauthorised access.
4. The Service
We grant the School a non-exclusive, non-transferable right to access and use the Service for its internal administration during the subscription term. We may update, improve or change features over time, and may make beta or optional features available that are provided “as is”.
5. Your responsibilities (data you upload)
In respect of Member Data, the School is the data controller and Cortico acts as a data processor on the School’s behalf (see our Privacy Policy and Data Processing Agreement). This means you are responsible for ensuring that:
- you have a valid lawful basis under the GDPR (and any other applicable law) to collect and use the Member Data you put into the Service;
- you have obtained any required consents, including verifiable parental consent before adding children’s data, and explicit consent (or another valid Article 9 basis) before adding special-category data such as medical conditions, allergies or health information;
- the people whose data you upload have received appropriate privacy information, and the data is accurate and kept up to date;
- you use the Service and the data only for the legitimate administration of your School and in compliance with applicable law.
6. Payments and fees
Subscription fees, billing frequency and any transaction fees are as presented to you when you subscribe. Fees are exclusive of taxes unless stated otherwise.
Payments between a School and its families are processed by Stripe through Stripe Connect. Cortico is not a bank or a payment institution and is not a party to those transactions; your use of Stripe is subject to Stripe’s terms, and the School is responsible for its own pricing, taxes, refunds and chargebacks. We may suspend the Service for non-payment of Cortico fees after reasonable notice.
7. Acceptable use
You agree not to:
- use the Service unlawfully, or to upload unlawful, infringing or harmful content;
- access or use personal data beyond what is necessary to administer your own School;
- attempt to breach, probe or circumvent security, access another tenant’s data, or disrupt the Service;
- scrape, reverse-engineer, resell or build a competing product from the Service, except to the extent this restriction is prohibited by law;
- misrepresent your identity or your authority to act for a School.
8. Ownership and licence
As between you and us, you retain all rights in your Content and Member Data. You grant Cortico a worldwide, limited licence to host, store, process and transmit your Content solely to provide and support the Service.
Cortico and its licensors retain all rights in the Service, including its software, design and trademarks. If you send us feedback, you grant us a perpetual, royalty-free licence to use it to improve the Service.
9. Data protection
Our processing of personal data is described in our Privacy Policy. Where Cortico processes Member Data on a School’s behalf, that processing is governed by a Data Processing Agreement (DPA) which forms part of these Terms and is available on request at privacy@cortico.app. The DPA sets out our role as processor, the sub-processors we use, and the security measures we apply.
10. Third-party services
The Service relies on third parties (for example Stripe for payments, and our hosting, email and infrastructure providers listed in the Privacy Policy). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.
11. Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only as needed to perform under these Terms, except where disclosure is required by law.
12. Warranties and disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties (including merchantability, fitness for a particular purpose and non-infringement) and do not warrant that the Service will be uninterrupted, error-free or secure. The Service is an administrative tool and is not legal, tax, medical or safeguarding advice.
13. Limitation of liability
To the maximum extent permitted by law, Cortico will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service will not exceed the fees you paid to Cortico in the twelve (12) months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. This includes liability for death or personal injury caused by negligence, for fraud, and any liability that the GDPR imposes directly on a processor.
14. Indemnification
You will indemnify and hold Cortico harmless from claims, losses and reasonable costs arising from your Content, your unlawful or unauthorised processing of Member Data (including missing consents), or your breach of these Terms, except to the extent caused by Cortico.
15. Term, suspension and termination
These Terms apply for as long as you use the Service. You may stop using and close your account at any time. We may suspend or terminate access for material breach, non-payment, or where required to protect the Service, other customers or comply with law, with notice where reasonable.
On termination you may export your data for a period of 30 days, after which we will delete or return Member Data in line with the Privacy Policy and the DPA, subject to any retention required by law (for example accounting records).
16. Changes to these Terms
We may update these Terms from time to time. For material changes we will give reasonable notice (for example by email or in-app). Your continued use of the Service after changes take effect constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the Netherlands, and the courts of Amsterdam have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
